Each company in a Group is a separate legal entity governed by its own Board which is duty bound to act in its own company’s best interests. This means that it is only where the interests of a subsidiary and its parent coincide, will the Board of the subsidiary follow the whims of the holding company’s Board (in theory anyway)!!
